Hi! "Business address" in this video is in reference to the principal address. In Florida, there is a difference between the "principal" address and the "registered agent" address. Not exaclty sure what an "intermediary" company would do in this context but buyouts can be creatively negotiated. There are ways contracts can be drafted so that a departing partner gets a payout that the remaining partner can afford.

I do not know why you are being told that. As of the recording, following the video should allow you to change the principal and mailing address without paying any fees. If you are changing the REGISTERED address, you will indeed need to update the articles of organization, mail it in and pay the fee.

The Department of Motor Vehicles is in charge of issuing driver's licenses and is a separate entity from the Division of Corporations. They have their own separate rules which we do not know.

Usually for virtual businesses, you just need a city/county license where you physically operate your business. So if that is your home, one license may be sufficient even if you plan to serve customers in multiple locations.

What's the deductible? How much will the premium rise if the business ever makes a claim? (according to the SBA 90% of small businesses will get sued at some point) Liability insurance offers protection but if you don't know answers to the above questions you don't know how much or (how little) protection you actually have.

For this situation, your best course of action is to speak to a business attorney in Iowa to answer your question about liability because that is a matter of state law. As for the tax write offs, you need a CPA to advise you on that so they can analyze your entire financial profile and see how a LLC would fit for your situation. Hi! It would be enough only if in your example the registered agent service also appears on the state filings as an authorized representative of the company. This is the case in Florida. However, it is unlikely a registered agent service would be willing to serve as an authorized representative.

A company that is dissolved simply means that the state no longer authorizes it to conduct business. So a dissolved company on the state level could still theoretically operate and keep its assets, but it would be doing so without proper authorization. This would mean that the owners of a dissolved company will have little to no liability protection if they get sued. If the business is not operating but maintaining assets, it would depend on the circumstance but generally by law the owners of the company have a responsibility to dispose of those assets.
