When forming your Texas LLC or Series LLC, you may run across some information on using Wyoming LLCs as the Members or Managers of your LLC. But why would you do this? Why would you form an LLC in another state just to form another one here in Texas? Do you need both? Do the benefits outweigh the consequences?? In this video, I'll discuss my opinion on using this legal tactic for anonymity and privacy, and what I think some of the major pitfalls are of this particular legal move.

Do I Need An Attorney To Form An LLC In Texas? The Actual Answer Might Surprise You
Bravo! Going to change now
Nate, do you Llc’s for a medical business…re: Chiropractor in Texas
We just ran into this issue as well. Thanks for shedding some light on the change.
This is exactly how I set up my two companies several years ago. Seems to work well, other than the headaches of maintaining multiple QB files!
what if I'm just a single-member LLC , running out of my home, just for service industry (IT). so not real estate. Just me. Do I do Member managed or Manager Managed? It's no confusing for us SINGLE-MEMBER LLC's that are real simple. Also, how can I protect my home address for privacy, Indiana doesn't even allow Northwest to have that option on the menu where the option to choose your physical business address can also be the Register Agent's location/address. HELP!!!
So what about all the other titles (CEO, President, etc.)? Are they "meaningless"? And does signing as Manager carry the same weight as President for funding purposes, etc? Most banks and institutions want to see President or something similar. Thanks!
Thanks for providing this info!
how do I get a new tax ID with the new name?
Are the managers considered the owners? I am a veteran and if I include non veterans in the managers sections will they count as owners and void out the veterans benefits?
What is the language needed to recognize it as a series LLC???
Thank you so much for making this video! 👍🏽
Thanks. I was hoping you would explain the Supplemental Provisions/Information section though. What is suppose to go in there?
crazy question...Can each cell in a series LLC have a different owner?
I’m in San Antonio, I’m looking to start an LLC do you have an office where I could get a consultation?
Hi Nathaniel, I need help setting up an entity. How can I best reach you.
longilbert.com/contact/ Look forward to hearing from you!
Sweet 👍
Are you taking new clients?
When I went on the Tex Sec State Gov website to files Articles it does not have the option of PLLC only LLC, should I choose that one?
Would you help my business establish our paperwork ? I’d love to have one
Do PLLCs in Tx need to file an annual report?
What if you're an attorney who isn't barred in TX? If your practice is limited to federal courts, can you still form a PLLC in TX?
Interesting question. I think PLLCs would be limited to those individuals licensed in TX, but it might take a bit of a deeper dive on the Federal issue.
Great! Can I change the name and business address of my LLC at the same time? Thank you for your content!
I have the same question.. Did you change already?
If you already have an LLC formed within the last year, can an amendment be done to change it to a Series LLC?
I have the same question
Hello Mr. Gilbert, I truly appreciate your videos, they have been so helpful! And to clarify what you mentioned, to form a series under my existing TX LLC, the only document that I would have to file would be the Assumed Name form 503 as well as creating my operating agreement for the 'baby' series under LLC (mama). Hope I understood that correctly-thank you again!
I paid $1500 in NYS. I relocated to Texas and am looking to domesticate my LLC here.
I hope he answers
Question: If I form a PLLC in Texas and I am licensed to provided telehealth in NM? I know NM doesn't except PLLC business in their state.
Did I understand you correctly? You said even if you are a the only owner and operator of your company. You recommend a Manager Managed LLC for flexibility for future changes?
Thanks for the question! You are able to structure the company this way-- From my perspective it allows more flexibility on the admission of Members later on that may not want or need to be Managers of the company as well.
Informative video. Can I use my home address as an independent contractor contracting for myself?
Don’t keep a P.O. Box
Form 1 or 8. I filed form 1 and it kicked back
We are developing open standards, especially in the context open source software development. Intending to use Series LLC to provide protected series as a vehicle for open teams which gain community recognition to go from zero to seed, and potentially reform as a corporation down the line if they go the IPO route. Of course we'll also use them for our own product teams built on the same standards, asset holding for the parent corp, etc.
Good info sir. The fees are high. I have an attorney that is charging total $800 which includes the $300. He is charging $500 for his fees. It is less than half of what you guys are charging. Thanks for the info though.
Thanks for the comment! Glad you found an attorney you trust to set up your LLC, and that you found my videos informative. I am definitely not the cheapest option, but where I try to differentiate my services is the Management Training that is included in the packages for LLCs, PLLCs, and Series LLCs. After the formation process, I sit down with my clients and go over the function and use of the Operating Agreement, Buy/Sell Agreement, and Corporate Governance documents. To me, as an attorney, this is the most invaluable part of the LLC process--the actual maintenance and work after the initial drafting and filing-- because this is what will actually give you the "Limited Liability" protection that you are going for. Good luck with your new business and feel free to reach out if you ever have any questions!
Do we need to hire an attorney for this? Or is this something I can do on my own?
did you find an answer? did you end up doing this?
@@christinschumacher2143 Yes I ended up creating the LLC through legal zoom. Then I had a title company move my deed into the LLC. No attorney required.
What form do I need to file? Also, what form do I file to change LLC MULTI-MEMBER to single member?
Changes to your LLC in Texas require filing a Certificate of Amendment
@@lawofficeofnathanielgilber1522 what about the EIN? Only form 8832?
Great info ℹ️
Can I add a manager that is not a licensed professional to my PLLC ?
Hi! Thank you for this information. I'm a nurse practitioner and I'm transitioning to locum tenens as 1099 contractor. I will not have my own practice. Am I required to have a PLLC or will LLC suffice?
Can a residential real estate brokerage form a PLLC in Texas ?
Thanks for this great info! Quick question, if you don't have an LLC will liability insurance suffice to protect yourself from lawsuits, etc? In some states getting an LLC is very expensive.
Even if you have an LLC, it is highly recommended to get any applicable insurance policies. Remember, LLCs do not protect you from being sued (you can't stop someone from filing a lawsuit, just protect yourself from any bad outcomes), so having a policy that will help pay defense attorneys can be very helpful.
@@lawofficeofnathanielgilber1522 I see. Thank you again!
Awesome video! I have several properties in Texas with some rentals looking to start a series LLC soon. Can Series LLC's in Texas be owned/managed by another state LLC? Like Wyoming LLC for anonymity purposes? Is there any benefit to that? Or should I just stick to only Texas LLC's?
Wyoming LLCs are common to use as owners of Texas LLCs. For those looking for anonymity for whatever reason, they can be a great tool.
Should we have a separate EIN for each cell in a series LLC? Ours is a multi partnership series LLC . We will be placing rental properties in them.
There is not a simple answer to this unfortunately. Separate EIN's means separate tax returns for each individual series, so do with that info what you will. The most important factor for Series is separate accounting and records, even if you do not have separate EINs for each Series
Does Texas law say anything about prohibiting attorneys from forming their law firm as an LLC?
Not to my knowledge
So I met with this property manager he said his properties are under his trust, but the deed is with his RE LLC. As an LLC is a company and comes with more expenses and difficulties when on a home title versus a trust. Can you make a video elaborating on this?
How long does it take for other agencies to see the updated name change? For instance, the EIN with the IRS.
What if you're trying to buy a property under a series cell for your series LLC and you don't have an address yet? What name would you recommend? Thanks.
Thanks for the excellent information. I currently have an LLC that I created in Tx for real estate investment. This is a single member llc. This is not a series LLC. This LLc currently does not hold any property but I was thinking about moving one from my name to the LLC. Is there a way I can change this llc to a series llc ? If yes can you please let me know the procedure ?
Glad you enjoyed the video! Sounds like you are on the right track! For any specific questions you'll need to reach out to an attorney who can help point you in the right direction.
I don't know why yt only suggested one of your videos to me today - but I've watched them all now. There is no reason why your channel only has 20 subscribers. It's extremely helpful. Thank you!
Good to know you found them useful! Thanks!
Thank you for this insightful video…I’ve been looking for content on this topic I’m a Texas veteran with part-time businesses for both music production and publishing DBAs with the county and I was looking to setup LLCs for both + a new business for print on demand products. I was considering the Series LLC but now looking a separate entities. Do you see similar risks with setting up one LLC and 3 assumed names? Thank you.
Assumed Names or DBAs are not separate businesses, so you would not get the same protections for assets that you would get with different entities. Series LLCs are a different beast altogether. It sounds like you have some specific issues that would benefit from having an attorney involved, so I would reach out to a lawyer in your area and see about getting them involved in the process. Glad you liked the content!
