What happens if singer doesn’t want to sing at the concert after all? Is she still bound to since her agent signed and she gave that agent authority to sing on her behalf?
A principal is bound by her agent. If an agent has authority to sign a contract on behalf of the singer and the singer breaches the contract she is liable.
What will be the time of formation of contract? Will it be the time when agent signed the contract or when the principal agrees to the contract offered by so-called agent?
Thanks for this question. I would think the contract is formed from the time of execution, even if principal only later ratifies it, but I'd be happy to learn that I'm wrong. Here's my reasoning: let's say A improperly purporting to act on behalf of P enters into a contract with B on Feb. 1. For three months P accepts the benefits of this contract and a court decides that this was a valid contract because P ratified A's authority to sign the contract on P's behalf. It seems clear to me that the contract was formed on Feb. 1. Now let's say the contract was formed on Feb. 1 without P's knowledge and requires P to sell some goods on June 1 to B. P learns about the contract three months later on May. 1. P decides it's a good deal, ratifies the contract, and proceeds to sell the goods on June 1. Although performance did not take place until June 1, the contract was still formed on Feb. 1. What are your thoughts?
