    So in your other video you describe the benefits of forming LLC in Wyoming. HOW do you do that with not having a physical address or presence in that state? Another benefit is no state sales tax!

      Hi. Thanks for watching and for your question. If you don't have an address in WY (which is pretty common), then you can do one or both of the following: (i) have a registered agent in WY, which is all that's required to form an LLC there (you can use the address in your state as the business address if you like); or (i) have both a registered agent and a virtual office in WY. I do the latter. Here is my video on how to form an LLC in Wyoming on your own: ruclips.net/video/NUezXXe7nwI/видео.html. Note that this entity-services company that I recommend in my video will give you 1 year registered agent service for free, then cap all other years at $119/yr.     Hello! I'm opening my LLC on delaware, to offer back office services for brokers among others, but i don't know which NAICS I should use, since the option i've been trying keep asking for certificates to show i guess after the company is completed, can you help me with this?

      Hi. Thanks for watching my video and for your question. Note that, if you cannot find the applicable NAICS code, you can put in something similar or random. No worries. This code does not need to be precise as it is not later referenced anywhere in your formation or other documents. However, it may help Incfile/Bizee if you choose to pay them to determine whether you need a permit or license. With that said, I recommend you research that question on your own after your LLC is formed. If you ever need a NAICS code in the future (e.g., you are bidding on a government contract), then you can look it up at a later time. Hope that helps, thanks! Best regards, Chris

    Thank you for the video! i have a question.. when you choose the manager managed option, why didn't they asked you for the name or info of the manager, I'm opening an LLC with my wife and she'll be the owner but I'll be making all the decisions since im the one with the experience in the business. We want to make it this way but i don't know what information will they be asking for me, I hope you can answer.

      Hi. Thanks for the comment and question. I learned later that sometimes Incfile does not ask for the Manager (depending upon the state). Note that, depending upon the state, you can choose to be "Manager-Managed" by simply electing that in the Operating Agreement (an internal document which is not made public). With that said, I recommend you reach out to Incfile customer service to make sure that, if they must indicate in the Articles of Organization (publicly filed document) whether the LLC is Manager-Managed or Member-Managed, that they choose Manager-Managed. I hope this helps, and let me know how it goes (and which state you are in). If they already filed it as Member-Managed, you can always amend the Articles of Organization. Thank you.

    Thank you for your clear step by step ! A quick question I noticed you choose your personal address for the EIN address, Can a virtual physical address be used instead of my personal address if I am thinking to move next year? Is this more convenient also for privacy reasons to open an EIN using a registered agent virtual address provided by Bizee instead?

      Hi. Thanks for watching and for your question. Yes, you can use a virtual address (including Bizee’s virtual address) for the EIN address. Although it’s an internal document, you may have to provide your EIN document to a bank or sometimes to vendors or customers. I therefore recommended a virtual office on the EIN if anonymity is important in this context. Hope this helps! Best regards, Chris

      @@72capital53 Hi. Yes, you should receive the EIN within 1 business day (unless you are a non-resident, as that takes longer). You will have access to the Operating Agreement immediately after you pay the fees. And, you will receive a PDF of the file-stamped Articles of Organization as soon as they have been accepted by the State (which depends upon the State and whether you chose the expedited or regular filing time).     Who does IncFile designate as the Organizer in the Articles of Organization that they file? You, the purchaser of their service?

      Hi. Thanks for watching the video and for your question. I can't speak for every state, but in WY (for example) they designate themselves as the Organizer. I believe that is their default approach, but you should check with their customer service to be sure. Please let me know how it goes.     Good afternoon, I've watched multiple videos, and definitely love them. I have a question that has been hard for me to obtain. If you can provide the answer here, great or if we can set up a paid phone consultation that can work for me as well.
    I want to start a trucking business with a Texas LLC taxed as an S Corp, but i also want a Wyoming LLC to be the parent company or manage the Texas LLC. Is that even possible? How can the LLCs be structured?

      Hi.
      Thanks for your kind words and for your question. I cannot give you specific advice without being retained, but I'll share some general principles.
      It's a good question, as an S Corp (in your case, TX LLC taxed as an S Corp) cannot usually have an entity as the member. However, if the entity is a single member LLC (e.g., a WY LLC owned by you), then you can have the WY LLC as the member/owner of the TX LLC taxed as an S Corp.
      You can have either the WY LLC as the Manager, or you can be the Manager of the TX LLC. For how to form an LLC in WY (which I would do first so you can name it as the member of the TX LLC), here is a video on how to do it yourself: ruclips.net/video/Zl-CxK7L6Hg/видео.html.       That helps a lot. Once both LLC's are created, WY single member and TX taxed as S Corp, does WY get paid like an employee?
      Is it a smart choice for TX run operations, but the assets like the semi-trucks owned by WY? Or should everything be run as TX?
      I know you are out of California, but if a retainer is easier to answer some of these questions, I am more than open to doing so. I want to make sure I do things right the first time. I have tried locally in Texas, but with the busy tax season, it's been impossible for me to get local advice.

      @@Arodbp1002 Hi. Unfortunately, I'm not taking clients outside of CA at this time. I can refer you to a CPA that I use if you like though for your tax issues. Let me know through my website (www.chrisjacksonlaw.com). With that said, the bottom line is that he WY company does nothing other than hold the membership interest in the TX entity. It provides an extra layer of protection for you as the owner of the WY LLC. You would use the TX LLC as the operating entity, operating the trucks, paying employees, etc. The WY LLC would simply be a holding company that receives profit distributions (if applicable) and makes capital contributions (as needed) in the TX LLC. Note that a related company of mine has a "Next Steps Guide" which covers some important post-formation questions/steps, and it will be available for purchase soon at www.attorneydrafted.com.       Hi. While I cannot give you specific legal advice unless I am your attorney, I can tell you generally speaking that yes, a foreigner can own an LLC in California. In California the wait time to set up the LLC varies, but when I did the video it was 8 business days if you paid an extra $50 or 4 weeks for the standard filing.       Note that there will be some tax withholding requirements on the LLC as to income tax owed by you in the USA.
      Regarding travel to the USA, you should speak to an immigration attorney in Pakistan as to your visa question, but having a business in the USA would certainly be a good reason to request a visa.

    What would be different if I am creating a LLC owned by my SDIRA (other than that the single member would be the IRA and I would be the manager)? I did not see any provision for that on those screens. Is this handled in the Articles of Organization (or Operating Agreement)?

      Hi Paul. Good question (and thanks for watching my video).
      When you get to the section where you enter the Member, for self-directed IRAs (and trusts) I recommend you choose "Company" and just write the name of the IRA where it says "Company Name." And yes, I agree that you (the individual) should be the Manager of the Manager-Managed LLC.
      You will also cover the identity of the Member in the Operating Agreement (and perhaps in the Articles of Organization, depending upon your state).

      Hi. After you pay, Incfile will file your Articles of Organization in your state. You will receive confirmation of the formation/registration in your state after a certain period of time (depending whether you chose regular or expedited filing).     Hello Chris. The Gold package you chose includes an Operating Agreement, however, I didn’t see a creation step for it as you were going through the order flow.
    What exactly is Incfile offering regarding the Operating Agreement?
    Do I have to upload my own, created in Law Depot?
    Is there a setup wizard within Incfile similar to LDepot?
    Or is it just a blank template/form within Incfile that I have to fill out on my own? ~Thank you

      Hi. The Operating Agreement from Incfile is created generically and automatically. You can download it in Word or PDF once you complete the order. However, the LawDepot Operating Agreement is in my opinion better than the generic version you get from Incfile. No need to upload the LawDepot Operating Agreement into Incfile. You can just save it on your computer or print it out and keep it safe. The bottom line is that I believe Incfile is a great service for forming your LLC, but if you want more than a simple generic Operating Agreement, LawDepot will provide a better Operating Agreement than Incfile.       @@cjlawvideos So if I want to use the Law Depot (OA) instead, I wont be able to include it as part of my Incfile order since Incfile version is created generically then automatically submitted to the state?
      I guess this means I’m going to have to submit an [Amendment to Articles of Incorporation] to the Secretary of State in (CA) after the fact to make the LawDepot version the official document correct?
      Btw, my thought process/goal is to include additional provisions to protect myself/company by addressing:
      ~No Forced Distributions.
      ~ProRata Distributions.
      ~Include No Charging Order language.
      ~Restrictions on member interest transfers.
      ~No right to return of Capital provision.
      ~ Officer appointment provision.

      @@MindStrokeTV Hi. Incfile will file your Articles of Organization in the State of California, but you do not need to file your Operating Agreement anywhere. That is an internal document which may be requested by a bank but not by the State of CA. You can just ignore the Incfile generic Operating Agreement and use the LawDepot one instead.
      Also, depending upon your tolerance for liability and some additional fees, you may want to have your CA LLC owned by a WY LLC (and you own the WY LLC). I'm making a video about that now.
