Suppose a contract which is to be executed in 12 months (assume 01/01/2023 to 31/12/2023) and working fronts clearance is in the scope of client. And as per contract all fronts clearance will be given progressively within contractual completion period i.e., in the period 01/01/2023 to 31/12/2023. But only 30% working fronts are provided with contractual completion period and balance 70% working fronts are provided after contractual completion period. Then client told that we will give you 12 months months after last working front and extend the contract contractual completion period upto 31/12/2025. But contractor could not perform and complete the work upto 31/12/2025. Now the client terminated the contract and asking for compensation for delay in completion of work. According to Chapter IV of the performance of contracts u/s 54 of Indian Contract Act 1872 states that “Effect of default as to that promise which should be first performed, in contract consisting of reciprocal promises. Therefore, promise cannot demand for any compensation until the non-performance is solely attributable to the contractor. Also u/s 55. Effect of failure to perform at fixed time, in contract in which time is essential.-When a party to a contract promises to do a certain thing at or before a specified time, or certain things at or before specified times, and fails to do any such thing at or before the specified time, the contract, or so much of it as has not been performed, becomes voidable at the option of the promisee, if the intention of the parties was that time should be of the essence of the contract. So in this case who will compensate. 1. contractor will compensate to client. 2. client will compensate to contractor.
