    Hi, thanks for the video! I just done along with you the tax filing. Do I need to do anything about Corporation Tax, my company had 0 activity so not sure what to do?!

      In most instances, HMRC will pick up that your business is dormant and so will not chase you for a Corporation tax return, however there is no harm in submitting a nil return for corporation tax purposes if you are submitting close to the deadline date (or late) to avoid them chasing.

    Also how to justify any added money by a director to company's bank account ? Are they considered as director loan?

      Money added by the director is usually a directors loan. And no, you are not required to submit to HMRC when dormant

    Hi Annette, fantastic explanation - clear, precise and upbeat - well done from a fellow Scot! I have a completely dormant Ltd company that was set up 18 months ago and never traded or held cash in bank or otherwise and performs no transactions at all. The questions is what do I need to submit to HMRC...? There's no corporation tax obviously but do I not need to submit something to them also and if so what...do you know..? Thanks for any guidance!     Hi Annette, amazing video, this just what I needed. if you are filing accounts for the first time, do you fill 100 shares as in your case for previous year? 2nd question: does your company show up as dormant or active in the public register when you view through the company's house website?Finally, is it ok to send HMRC an email telling them you are dormant or how do you submit nil return?THANK YOU SO MUCH ANNETTE FOR ANY INSIGHT PROVIDED.

    miss I started the company but I didn't start any business activities yet because I still don't have the wise account set up because it required 45GBP which I don't have so this video useful for me to avoid any penality against me because im new and I don't know I received this document saying this Company Unique Taxpayer Reference (UTR) I didn't register for tax because my profit is 0$ and I didn't open the store yet also it says Important information for new companies only

    I've registered a company on 14th of January 2022 as I whached RUclips then just after a year on first of January 2023 I did my conformation statement as an inactive company but whenever I check my company in company houses page my company is active!!!while it has been dormant company and it makes me worried and next week I have to filling my company as a dormant company aswell.     Once it is dormant you won’t have to file anything until you reactivate it?

      You still need to file dormant accounts and a confirmation statement each year, even when dormant.
      You don’t “deactivate” from dormant - you would just start trading, then the status would change one you submit an active set of accounts.

    Thank you very much for this video, Annette. If the company has not traded since incorporation (about 10 months ago) but has opened bank account and has little cash on it untouched (director’s loan I understand), may it be reported as dormant in a way you showed? And is there anything to report to the tax office in this situation? Thank you again for all your help.

      If you have put money in (directors loan) then for the purposes of Companies House accounting submissions, that is deemed to be a "significant accounting transaction" and therefore you cannot submit dormant accounts. A ‘significant’ accounting transaction is defined as one that the company should enter in its accounting record and movement in the directors loan account is should be entered into the accounting records.

    Hey, I follow your all instructions, but there are an error shows me (The date the accounts were approved cannot be earlier than the balance sheet date) this shows on the page of filing accounts . Please help me to regard this issue

      No you cannot approve accounts before they have been drawn up - hence why the approval date cannot be before the balance sheet date. The date of approval is the date you are submitting them.

      Yes I sort out. You have to wait until the period ends. Then they allow us to submit.

      Yes.
      But you’ll need to submit your confirmation statement otherwise your company will be automatically struck off.

    We are 6 flat owners who have a private company limited by guarantee without share capital. Incorporated feb 2021.
    We pay a monthly amount into a company bank acc we use this to pay buildings insurance and maintenance.
    HMRC accept us as dormant. Our ex solicitors filed our first accounts with companies house. One column headed 2022 reading net assets £0, Reserves £0.
    We want to file our second accounts soon.
    My question is should we state the balance in our bank account or just file net assets £0, Reserves £0 like before?

      You cannot file dormant annual accounts until after the year end of the business. For example, if you registered in May and had a 31st May 2025 as your first year end, you could not file dormant accounts for the year ended 31st May 2025 until after 31st May 2025.

    Hi my partner is trying to file the company as dormant. It was set up and never traded at all. He has put called up share capital not paid 0, cash at bank 0, 1 ordinary share value 0 and its all come up pink. If he hasn't made any money due to it not starting up should everything be put as 0 as the company hasn't made any money? I've had a look and it's gone straight over my head 🤔 this 10 min form has taken days and we are still confused. Please can someone advise. Thanks in advance...

      If you don’t know, have a look at the incorporation documents - it will say on there.
      It’s not possible to have 0 :-)

      @@annetteferguson-accountant Hi Anette, thanks a million, I have not been able to find No. of Shares my company has on Incorporation Documents (Either memorandum of association, certificate of incorporation or company report) in the report I can see the statement of capital is £1, i guess that is the minimum for a share, so it has a share for £1? I confirm I do not have a business bank account for this company or have done anything for the company since incorporation, thanks a million once again, Best Regards

      That will depend on how many shares your company has issued. You should manage to find that on your incorporation documents which are filed with Companies House

      Go here find-and-update.company-information.service.gov.uk/?_ga=2.86397264.931051347.1644947203-100444551.1644947203
      Search for your business by name, select your business, select the tab that says “filing history” and you’ll see everything that has been submitted to Companies House and be able to download your previous filed accounts

    Very concise, but informative video, Annette, thank you. If you're setting up a 'dormant' Ltd Co., do you still have to register for VAT, or only do this once you start trading (as I believe it may take a couple of weeks to register for VAT)? My business (if/once started) will provide support services/consulting for the MoD (I'm ex-Royal Navy, and intend to start consulting, soon)).

      You only have to register for VAT if you breach the VAT threashold. If a company is dormant then it’s not trading so by definition cannot have breached the VAT threashold. So a dormant company cannot also be VAT registered.

      You can only file accounts after the year end.
      If you want to shorten the period then you’ll need to change the year end first and then file the accounts.

    I have a dormant company and I have bought equipment for a total amount of
    £2488.83 net value no including VAT, I claimed VAT back already, so my question is: should I enter £2488.83 in called up share capital not paid box? And then the same amount on Total Shareholder funds box. Many thanks

      No.
      The equipment is an asset.
      If you personally purchased on behalf of the company then that is a directors loan and is a company liability.
      The share capital is per the comapny incorporation documents.

      Yes the date of approval must not be in the future because you cannot have approved something on a date that has not arrived
