    Since I’m starting out very small. I think I’ll just get my Dba to open business account, credit, P.O. Box, etc...and then once I start to see more income coming in then I’ll switch it over to an LLC

    You can also do DBA while having LLC. Example. XYZ LLC. DBA GHJ

    • @Mollaeilaw
      @Mollaeilaw  2 месяца назад

      Hi @zmack1830, Yes, you can operate a "Doing Business As" (DBA) under an LLC. For example, if you have XYZ LLC, you can also register a DBA to conduct business under a different name, like XYZ LLC DBA GHJ.
      This is often used when a business wants to run multiple brands or ventures under the same LLC without forming separate legal entities for each one. While the LLC remains the legal entity, the DBA allows you to use a different name for business operations, marketing, or branding.
      To register a DBA, you'll typically need to:
      Check if the name is available in your state.
      File for a DBA registration with the appropriate state or local agency.
      Pay any required fees.
      This allows you to maintain the legal protections and structure of the LLC while operating under a different name publicly.

    If I form a DBA how do I go about submitting my tax return? Would I file as a sole proprietor/self employed? And if so, the taxes for being in that category seem awfully high for not even having an LLC.

    I have a question....my startup company is registered as an LLC. It belongs to me and another family member. From what I know, we are a partnership LLC. what is the difference between a partnership and an s-corp? Is one better than the other and when is it appropriate to use each? Is the process of changing it from one to the other expensive or long?
    Thanks.
    -Maria

    • @Mollaeilaw
      @Mollaeilaw  3 года назад

      Hi Maria! Great questions!
      When comparing a partnership vs. S Corp, it's important to look at the pros and cons of each as you set up your company's legal structure. In addition to these options, other structures include C corporations, LLCs, and sole proprietorships. Of all of the available business entities, only corporations and LLCs are separate legal entities. Corporations are further split into two types: S Corp and C Corp. Both are clearly outlined and defined by the IRS tax codes.
      One of the benefits of an S corporation is the fact that profits can pass through the business to the owners. Because of this benefit, many company owners opt for this legal structure. An LLC does have some advantages over an S corporation, so it's important to review these advantages before deciding on a business structure. Choosing to run your business as a partnership or an S corporation will come with several effects, especially relating to taxation and management.

As someone who does part time business, you are already considered as a Sole Proprietor, but if you want to protect your personal assets from your business, then it's better to form an LLC. Hello sir great video! I have a lawn Bussines being doing so since 2019 will a DBA be enough for do you recommend me getting a LLC?

    • @Mollaeilaw
      @Mollaeilaw  Год назад

      Hi Mario 817, deciding whether to operate your lawn business as a DBA or form an LLC depends on various factors. Here are some considerations to help you make an informed decision:
      Personal Liability: With a DBA, there is no legal separation between you and your business. This means your personal assets are at risk if your business faces legal issues or debt. On the other hand, an LLC provides limited liability protection, separating your personal assets from your business obligations.
      Business Credibility: Having an LLC can often enhance your business's credibility and professionalism. It signals to clients and partners that you are a legally recognized entity and potentially instills more confidence in your services.
      Tax Implications: Both a DBA and an LLC have tax implications, but the specific details can vary depending on your jurisdiction. Consult with a tax professional to understand how each option may impact your tax obligations, including reporting and potential deductions.
      Future Growth and Expansion: If you plan to grow your lawn business, an LLC offers more flexibility and scalability. It allows for the addition of partners, the issuance of shares, and the potential to attract investors if needed.
      Considering these factors, forming an LLC might be a beneficial choice for your lawn business. It provides personal liability protection and presents a more professional image. However, it's essential to consult with a business attorney or a qualified professional who can evaluate your specific situation and provide personalized advice based on your needs and goals.

I will be driving the owners trucks but maybe in a year or so I’m thinking about purchasing my own truck. For the time being should I just get a DBA for tax purposes(tax deductions and write offs) then once I start my own company, transfer to a LLC?

    • @Mollaeilaw
      @Mollaeilaw  3 года назад +1

      Hi Timothy! Registering as DBA is for sole proprietors who don’t plan to use their first and last name for their business. But as I may suggest, you can form Single-Member LLCs which would allow you to keep your business and personal funds separate. Also, the income taxes can be filed with Schedule C of your individual personal return. Or you can book a free consultation with us at go.mollaeilaw.com/meeting so we can talk about which business entity would best fit for you as an Independent Contractor.

      Group A: The first is those who have little money, perceive their risk to be high, and are testing out business models and how to make money. They’ll often have multiple businesses under one LLC, have one bank account...etc.
      Group B: The second is a more experienced business person. They’ve established profitability or are confident in what they’re doing. They decided to “do it right” from the start, form two LLCs, and keep the liability separate.

      Hi Doris, generally it is not recommended to have multiple businesses under one LLC. This is similar to putting all of your eggs into one basket. By having the three businesses operate under one LLC you put the others at risk if one gets into a bad situation. However, if it is really all one business and you simply just have a different business name for certain services, then a DBA is fine. You can have multiple DBAs for the same LLC

    I want to sell things on Amazon. However, I want to label my own brand name on the products. Basically retail arbitrage. Do I need to have a LLC or a DBA for each separate item I decide to sell or will I be able to sell multiple products with my brand name on it under one LLC/DBA brand name?
    Lets say for instance I want to sell hats, hair oil and shoe strings. I plan to retail arbitrage them. I will brand these different items under one business name. Basically just throwing my logo on the product.
    Is this allowed?
    And I know if I decide to create my own design I’ll need to copyright each design. But, if I decide to just resale and logo a product, do I have to copyright each item?
    I understand I’ll need a DBA/LLC for tax purposes.
    Finally, for retail arbitrage, do you think a DBA or a LLC is necessary?
    Sorry if I’m asking too many questions. After hours and hours of research, I’m still so confused.

    • @lamiamadi820

      There is something you have to understand about selling on Amazon , if you put your brand name or logo on items you want to sell on Amazon this is not called retail arbitrage ( flipping clearance items ) !!! If you plan to sell with you own label / logo it’s called private labeling and it’s subject to different rules on Amazon then retail arbitrage . You can check Amazon sellers center to clarify some of this questions.

    Hi Mollaei, thanks for the video. I'd like to know more about regarding the last thing you said, "consider a DBA if I'd like to operate my business under a different name". Let's say for an example that I have an LLC under the name of "JOESMOE LLC" including an EIN and a bank account under this LLC name, but I would like to operate under the name "REALTY BIZ Co." Do I need to connect or file with the state this name "REALTY BIZ Co." into my "JOESMOE LLC" business name? How does a DBA become legal? Also, at the same time, I do not want my personal assets be liable under this "REALTY BIZ Co." name. I'd appreciate the advice.

      Hi, yes you are correct. When you have an LLC registered and you want to go by a different name, then you must register for a DBA in your state. This usually requires that you fill out a DBA application and inform the state that you have a registered LLC but would also like to have a DBA so that your LLC can go by another name. I started a small lawn service business is it best to do DBA or Llc I only brought home 30k I need help thanks

    • @Mollaeilaw
      @Mollaeilaw  Год назад

      Hi Juan Pascual, deciding whether to operate as a DBA or LLC depends on your specific needs and goals for your lawn service business.
      A DBA (Doing Business As) allows you to operate your business under a name other than your own legal name. It is a simple and cost-effective way to establish a business identity and start doing business under a different name. However, a DBA does not provide any legal protection for your personal assets and you remain personally liable for any debts or legal issues that may arise in the course of your business.
      An LLC (Limited Liability Company), on the other hand, provides personal asset protection by separating your personal assets from your business assets. This means that your personal assets, such as your home or car, are generally protected from business-related liabilities or debts. An LLC also provides flexibility in terms of management and taxation.
      Given that you are earning $30,000 in your lawn service business, it may be worth considering forming an LLC to protect your personal assets and provide greater flexibility in the management and taxation of your business. An LLC also provides a more professional image and can help build credibility with customers.

      The process for adding a DBA to your LLC can vary depending on the state in which your LLC is registered.

      A DBA will not provide you with a legal entity. If you are looking to sell products across the country, you will need a LLC. Once you have an LLC, you can use a DBA name to conduct business under any name you'd like. Book a meeting here for assistance in setting up your LLC and your DBA. go.mollaeilaw.com/meeting
