I have tried this several times, ejecting (unmounting) it each time, and each I can open/mount it again WITHOUT a password. It just opens right up. I even tried force quitting Finder and restarting the MacBook after unmounting, and still never again asks for a password.

As far as I know if you right click on a folder then Get Info, right under the share radio button there is the option to "lock" the folder.

It's probably compressing your files down before it creates the image. It could be that you selected Compress instead of read/write when creating.
you can use fsdecrypt to access the dmg
