To answer Suraj's question as to why Ken and Roman were so sad at the end... they don't care about the money. They wanted to tank the deal so that THEY remain co-CEOs full time and keep the entire company for themselves. The fact that Lucas went above them and told Frank the new offer of $192 means that they HAVE to take the deal to the board now because it's a damn good deal (kinda like what Kendall did to Lawrence in season 1 in order to buy Vaulter). Ken and Roman know there's no way the board would reject that offer and they would vote to sell the company to Lucas, so their plan basically went up in smoke.

i think part of the reason that he said they fucked themselves is that they revealed their hand - he now knows what they want, and if he can stop them from getting that, he "wins," just like Logan would always look to win in any situation

Something I think went over their heads that Ken brings up is that since it's a 50-50 stock-money deal if Mattson tanks the company now their stock shares are worthless so they only get half the price agreed upon.

For context: Assuming Matsson was buying out the entire company plus ATN at $187 per share (for the 100 million or so shares), it’s about a $4.3 billion higher offer than they’d expected from a buyout at $144. The 192 offer would’ve probably been about $4.8 billion higher than they expected.
Virtually all of the top execs who held stock would’ve essentially gotten an extremely generous bonus.
For Kendall and Roman, selling the entire company is a mixture of losing one identity/importance that Waystar provided and pride against being dominated by Matsson - esp Kendall, who’s entire life’s purpose has been to be the heir.

The kids have always been rich, will always be rich. Getting more money on the deal is meaningless.
All they ever wanted is their father's approval, but Logan always valued his business the most in his life. So the kids believe being worthy of running the company is a way of getting their father's approval.
Also the sale did NOT go through. The kill list at the end of the episode is just the list of employees that would be let go if the deal DID go through
Ken and Roman realized they didn’t like Mattson (who’s admittedly an asshole) and wanted to keep the company for themselves. For them it’s an emotional issue to keep their family legacy under the Roy name. But Mattson is forcing so much money down their throats that the pressure from the board and shareholders will be to sell. If Ken and Roman go against the deal, they’ll disgrace themselves in front of their shareholders and damage their reputations permanently. But if they do sell then they have to swallow their words and pride in front of Mattson. It’s just like Chris said, Mattson is doing to them what Ken was doing to Lawrence/Vaulter in Season 1.

Ken and Roman are already billionaires. We know that Kens stock was valued at 2 billion because Logan tried to buy him out in season 3. We know that Logan was a big massive billionaire and he didnt disinherit them, so they should all comfortably be above the billion right now. So yeah, its not about the money. Its about the power and prestige that being CEO of the late fathers company brings. And they failed miserably.
