Is there any general rule regarding a husband and wife setting up an LLC? Specifically, we're in a community property state, so the capitalization for our hypothetical LLC would be coming from joint funds, savings and investments. Can that still be treated as a multi-member LLC, with each of us 50% owners, or does that get interpreted as single member? Thanks for these very informative videos, by the way. Hi! Thank you so much for this. My husband and I are in Chaffee County, CO and drafting OA for our single member businesses. Our biggest concern is if one of us ends up incapacitated or in death how we write the OA so that the "signer" in the bank account (we have at each other) can operate the business in the others absence and more importantly if the Owner is deceased that the business immediately transfers to the surviving spouse. My understanding is the "signer" looses their position once the Owner is deceased which would halt access to the business account. We are trying to make sure the language in the OA would make that transition seamless without having to go through probate or wait or do mountains of paperwork. We are addressing this in the transfer/liquidation/dissolution section. Is this correct. We are using a Colorado template and changing parts of it to submit to the bank to have on file. Is this acceptable and is there anywhere else this needs to be on file? Thank you for your response.

But I do tell my clients to prepare to pay around $2k or more in a worst-case scenario. However, many of them end up spending way less! Thanks for the great question!

You do not need to submit it anywhere if your state doesn't have a requirement for it. You would just keep it in your records until a need arises to revisit it.

+Shawn Afshar I majored in Finance in undergrad and went to law school at the University of Denver. You are right that the market is saturated and very competitive, especially in California. If you are passionate about being a lawyer, then it is still a good investment. But if your goal is just to make a lot of money or something like that, then you may want to explore other career options. Being a lawyer can be very lucrative if you are successful in law school and can land great internships and big firm positions, but the majority of lawyers (myself included) have a much more modest lifestyle than people would expect.

Your business location address would then be the physical address of the UPS Store followed by your box number. So if the UPS Store where you got your P.O. box is at 12345 Main Street, Fargo, North Dakota, and your P.O. box is 9876, your business address would be something like this: Jessica McHayle Enterprises LLC 12345 Main Street Suite 9876 Fargo ND 99999 Like @The Carter and @Shapress7779 said, your business location is a matter of public record, and is where people would go to deliver you summonses and other legal documents. This is why you probably don't want to use your actual home address -- you don't want the sheriff or some rando showing up on your doorstep in the middle of the night because of some business matter. As your business gets bigger, you can "upgrade" your business location from the UPS Store to a "virtual office" from a company like DaVinci, Regus or Opus.

You do not need to submit it anywhere if your state doesn't have a requirement for it. You would just keep it in your records until a need arises to revisit it.
