STOs and Security Tokens Explained (simply)

STOs are a way to tokenize tradable financial assets (like a share in a company) and offer them to the public in a responsible regulated process.
Unlike ICOs that are more of a “wild west” type of offering, STOs adhere to specific regulations and oversight by regulators. A token is considered a security if it answers “yes” on all 4 questions on the Howey Test (explained in the full post below).

How does one start the process of offering a sto to the public from idea to execution. Do I need to contact a traditional investment bank or are there equivalent type crypto financial companies?
How do you 'fall into one of these regulations"? Take the CF exemption for example, is there some formal legal document that a company is required to produce before they issue and sell their tokens?

Do sto's represent a share of ownership, management, or equity in a company like a share? What happens to the value of the sto's in bankruptcy? Would an analogy be a stock option or warrant?
Does this mean DAOs can have STOs without being subject to SEC rules?

The STO market has yet to mature so as far as I know there's no standardized and regulated way in which the tokens are legally transferred at this time.

Hi, I do not find any confirmation of the 1,070,000 USD cap under regulation D. Rule 506 of Regulation D provides two distinct exemptions from registration for companies when they offer and sell securities. Companies relying on the Rule 506 exemptions can raise an unlimited amount of money. Am I missing something? Could you please provide any reference for this cap? I am a junior associate of a law firm and I am carrying out wide research on this matter. It would be extremely helpful. Thank you very much in advance

There are two I know about: Polymath and RavenCoin. Overstock also has a token for their upcoming blockchain security exchange, Tzero, but it's only for accredited investors at this stage. I'd say Tzero looks the most promising as they seem to have sufficient regulatory approval to move forward in the US and so seem the most likely to attract major companies. I expect similar projects will start up in other countries if the STO thing takes off.
