If you look closely at the mounting bracket of the light, there should be holes to receive the light-stand at the very end and 90 degrees to that so you can mount the light facing down (overhead).

It depends on the type of microphone you use. This rig will give you the ability to use any external microphone. I needed it to use a wireless mic so the noises made by my gimbal wouldn't be picked up in the audio
